Auto box from 300E fit E320 ??

Hi - can anybody advise if an autobox from a 1988 300E will fit a 1994 320E. Would it physically fit, and if so would there be any major problems with installation or in operation ??
Am seriously considering the 320E, but autobox has a problem - feels like a slipping clutch in a manual car - believed that brake bands worn (??).
Would greatly appreciate any advice, guidance, etc.
